The accepted shares represent approximately 5% of outstanding shares as of December 12, 2025. The company reported that the repurchase generated approximate NAV accretion of 1.0%. Payment will be made promptly by the Depositary in accordance with Offer terms.

BCP Investment Corporation (NASDAQ: BCIC) commenced a modified “Dutch Auction” tender offer on November 12, 2025 to buy up to $9.0 million of its common stock at a purchase price set by tendering stockholders between $13.63 and $14.93 per share, cash, less withholding and without interest. The offer will expire at 11:59 P.M. ET on December 10, 2025, unless extended.The Offeror Group includes BCIC and certain officers and directors; the company will purchase approximately the first $7.6 million of tenders and the other Offeror Group members will purchase approximately the remaining $1.4 million. A single purchase price within the stated range will be determined after expiration and proration may apply.
