Thankful that today's global outage isn't impacting Canvas, as my students are taking their midterms right now. And I forgot to bring hard copies just in case (as advised by IT).

Law Professor Friends...

Any insight on where taxprofblog and prawfsblawg go now that type pad has gone away?

I wanted to send the taxprof list of VAPs/Fellowships to an alum.

Duke Friends. For the first time, my email junk folder was very full, and it was not junk. Take a look!

If you are a Duke University School of Law alum and are planning to go on the entry-level tenure track or clinical teaching market in 25-26, please shoot me an email. We (the Academic Careers Committee) would love to provide support (and invite you to a moot job talk day).

Some days, the writing just flows.

Other days, the writing is...walking through mud.

Today is quite, quite muddy.

Friend: I have this case involving a corporate monitor, do you know about these?

Me: Sure what's your question...[answers question]

Friend: Wait, have you written about this?

Me: Little bit...😂

Someone asked to reprint one of my articles for a Brazilian journal, so the article has been translated into Portuguese. I uploaded the original & translation into ChatGPT & asked about the translation quality. I have also asked a native speaker to do some review, but such a cool use of the tech.

I was born in Wisconsin and spent summers with my grandparents on Totagatic Lake in Minong.

Everyone go rent a cabin by a lake and show these people some tourism dollars. Stunning beauty. Beware of bears.

My draft, "Purpose-Driven Compliance," is forthcoming with Texas A&M Law Review. The abstract is below, and I'll post to SSRN once I incorporate some fantastic comments I received at Emily Strauss's "Corporate Disasters" conference last week.

This came up in class today in response to a student question about compliance obligations and employee privacy (ahem...not in the US), but somehow it feels relevant in another way.

I had the privilege of working with folks at the OECD on a project related to assessment of compliance effectiveness in the anticorruption space.

Two reports were issued today related to that work.

Signs you are a lawyer.

Walks into Home Depot. Sees a "suction cup grab bar" for shower. Thinks - "that is a tort in a box." Then thinks - "but they assumed the risk."

Ok...too much torts for this contracts prof.

How is it that googling "chart for Salman" doesn't give me a chart showing the tipper/tippee stuff?

Someone has to have done this already.

I miss the information I used to be able to gather from the submission "angsting" thread on Prawfs, although I acknowledge that the angsting was not healthy. (I will not be submitting until Friday...maybe...my kids keep not having school).

Thoughts on FCPA enforcement.

First, the United States used to be virtually alone in its enforcement efforts aimed at stoping corruption and bribery. That is no longer true. Brazil, France, Mexico, and the UK, for example, have dedicated units to combat corruption and bring cases to that effect.

Normally, I get irritated when I receive a high-priority email, but it turns out I get excited when that high priority email is from the Duke Faculty Club with instructions on how to get my membership processed.

I have said publicly (can't remember if I've written it) that I think the corporate enforcement level ebbs & flows with changing administrations (like regulation). Lots of people disagree with me on that point, citing Trump as an outlier.

Well--he's back.

Child 2 to Child 3: "You need to learn the difference between a question and a comment."

I just walked away, as this is almost certainly my fault.

Having just done my annual review, if I were to finish all the half-written things in my drafts folder, it would be like the time when someone said to me during an interview "you wrote an entire tenure file in a year."

The problem, however, is now my three children all do sports.

When giving talks/teaching on compliance, I note that my definition of compliance includes compliance with the firm's own policies & procedures, because a violation of them can often lead to sanctions. I typically refer to the Ind. Foreclosure Rev. settlements, but this is a more recent example.

SEALS 2025 (I adore this conference)

My colleague, Emilie Aguirre, and I would like to propose a discussion group at SEALS 2025 on corporate purpose.

Who wants on the email distribution for this one?

I've never submitted one before. May screw it up. 😀

Today marked the final session of our Corporate Compliance & Ethics class for the semester, where we explored the Boeing documentary as a case study. Given the ongoing circumstances at Boeing, it offered a unique opportunity to analyze cultural transformation as it unfolds in real time.
