Not if SB 21 passes. Then musk gets 56 billion dollars, and all Fortune 500 companies will be shielded from any lawsuits brought by investors. Also, shareholders will no longer have the right to vote on matters pertaining to their investment.

Nope! Only for investors suing over their investment basically.

If an investor (or anyone else) has standing to sue Elon or Tesla regarding another matter, then that case will be heard wherever its jurisdiction happens to be.

The short answer is, it comes down to jurisdiction. The state where the articles of incorporation were filed is the state with jurisdiction. Tesla filed in Delaware so the investors have to file all lawsuits there too.

You should look up Delaware’s house bill SB 21. Soon shareholders won’t have the legal right to bring law suits against corporations registered in that state.
